Terms & Conditions

Welcome to Digital Designer. By using our services or engaging with us via any written proposal or agreement, you agree to the following Terms & Conditions. These terms govern all services offered, including branding, web design, graphic design, digital marketing, hosting, and support.


1. Introduction

Digital Designer (“we”, “us”, “our”) is a UK-based creative studio offering:

• Branding and visual identity

• Website design, development, and hosting

• Graphic design for digital and print

• Digital content creation

• Marketing services (e.g., SEO, email campaigns, ad design)

• Website maintenance and support

These terms apply to all clients (“you”, “the Client”) who contract our services by:

• Purchasing a package or subscription through our website; or

• Accepting a written proposal or brief; or

• Engaging with us via email or signed agreement.

By ticking the box at checkout or otherwise accepting these terms, you confirm your agreement to be bound by them.

“Working days” refer to Monday to Friday, excluding UK public holidays. Our standard working hours are 9AM – 5PM.


2. Scope of Services

Services are delivered as agreed in a formal proposal or contract, which outlines:

• Deliverables

• Timeline and milestones

• Payment terms

• Any recurring services (e.g., hosting or marketing retainers)

Website hosting, content updates, and support are governed by a 12-month minimum term unless otherwise stated.


3. Fees & Payment

Upfront Payment: Full payment is required before work begins, unless agreed otherwise in writing.

Non-Refundable: Once the project commences, payments are non-refundable.

Hosting & Maintenance Fees: Billed monthly or quarterly as per agreement.

Late Payments: May incur interest of 2% per month. After 14 days of non-payment, services may be suspended. After 30 days, they may be terminated with loss of data.

Reinstatement: Not guaranteed and may require setup fees.


4. Website Design & Hosting

Initial Term: 12 months beginning on the date of the first payment.

Renewal: After the initial term, the agreement automatically converts to a rolling monthly contract, cancellable by either party with 30 days’ written notice.

Early Cancellation: If cancelled during the initial 12-month term, the full remaining balance is still payable. No early termination discounts apply.

Rolling Term Cancellation: During the rolling term, service continues until the end of the month following the notice period. No refunds for partial or unused months.


5. Monthly Service Hours

Where a service plan or retainer includes a set number of service hours per month (e.g., 3 hours):

• These hours cover any combination of services, including content creation, design revisions, website updates, support, or consulting.

Unused hours do not roll over to the following month and are forfeited if not used within the calendar month.

• Additional work beyond the included hours will be quoted separately and billed at our standard hourly rate or as agreed.


6. Revisions & Approvals

• Each project includes a specific number of revisions, defined in your proposal.

• Additional revisions may incur extra charges.

• Client must provide feedback or change requests with at least one week’s notice.

• Urgent changes are not guaranteed and may impact timeline or budget.


7. Intellectual Property

Final Deliverables: Ownership transfers to the Client upon full payment.

Working Files & Unused Concepts: Remain the intellectual property of Digital Designer unless otherwise agreed.

Hosting Environments & Code: Backend/server access, CMS admin access, and configurations remain the property of Digital Designer.

Portfolio Use: We reserve the right to display completed work in our portfolio or promotional content.


8. Access & Control

Admin Access: Retained by Digital Designer to ensure platform security and server integrity.

Client Access: Limited to user-level permissions for content edits unless otherwise agreed.

Custom Code or Integrations: Ownership or transfer rights must be contractually specified if required.


9. Client Responsibilities

You agree to:

• Provide timely content, branding assets, and approvals.

• Secure licenses for images, fonts, third-party tools, and copy.

• Review and test all deliverables upon submission or Go-Live.

• Report issues or errors promptly.

Delays in your responses or approvals may impact project timelines and result in rescheduling or additional fees.


10. Support & Maintenance

• Support levels are defined in your service plan (e.g., Basic, Priority).

• Includes patching, updates, and routine backups.

• Custom features, new designs, or advanced integrations are billed separately.

• Response times range from 1–3 working days depending on plan.


11. Liability

We are not liable for:

• Errors in client-supplied content or materials.

• Losses from misuse or alteration of our work.

• Issues arising from third-party providers (e.g., printers, hosting services).

• Outages or disruptions beyond our control (e.g., server failures, force majeure).

• Any damages exceeding the fees paid in the last 12 months.


12. Data Protection

• We comply with the UK GDPR and data protection regulations.

• Personal data collected through your website (e.g., contact forms) is your responsibility as Data Controller.

• We act as a Data Processor and will sign a Data Processing Agreement upon request.


13. Confidentiality

Both parties agree to treat all shared information, materials, and communications as confidential and not disclose them to any third party without prior written consent.


14. Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt to resolve disputes amicably through direct negotiation. If unresolved, the matter may be referred to mediation in accordance with UK mediation procedures.


15. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall first be resolved through mediation and, if necessary, through the courts of England and Wales.


Client Agreement

By engaging our services or signing a proposal referencing these Terms & Conditions, you confirm that you:

  1. Accept a 12-month term for hosting, renewing monthly unless cancelled.
  2. Acknowledge that administrative access is retained by Digital Designer.
  3. Will honour agreed timelines and payment terms.
  4. Accept that no refunds are provided after the project starts.
